CalcDraft™

1. Definitions

"Licensor" means RO ENG LIMITED (registered in England & Wales), trading as CalcDraft™, the owner and developer of the Software.

"Software" means all CalcDraft™ engineering calculators, templates, algorithms, source code, compiled code, user interfaces, documentation, and associated materials accessible through the CalcDraft™ portal.

"Licensee" / "You" means the individual identified by your authenticated credentials who is granted access under this Agreement.

"Authorised Use" means viewing and interacting with the Software solely via the CalcDraft™ portal for performing engineering calculations in the ordinary course of your professional work, subject to the restrictions herein.

2. Grant of Licence

2.1. Subject to your acceptance of and compliance with this Agreement, the Licensor grants you a non-exclusive, non-transferable, non-sublicensable, revocable, personal licence to access and use the Software solely for Authorised Use.

2.2. This licence does not convey any ownership interest in the Software. All rights not expressly granted are reserved by the Licensor.

2.3. The licence is granted on a per-user basis. You may not share credentials or allow any third party to access the Software through your account.

3. Intellectual Property

3.1. The Software, including all calculation methodologies, algorithms, formulae implementations, user interface designs, layouts, code (source and object), documentation, and branding, is and shall remain the exclusive intellectual property of RO ENG LIMITED.

3.2. CalcDraft™ and Engineering AIsistant™ are trade marks of RO ENG LIMITED. You may not use these marks without prior written consent.

3.3. Nothing in this Agreement assigns, transfers, or licences any intellectual property rights to you beyond the limited right of Authorised Use.

4. Restrictions — You Must NOT:

1. Copy, reproduce, duplicate, or download the Software or any part thereof, including source code, HTML files, scripts, stylesheets, or calculation logic, by any means (including saving pages, browser developer tools, screen scraping, automated crawlers, or "Save As" functionality).
2. Modify, adapt, translate, reverse-engineer, decompile, or disassemble the Software or attempt to derive source code, algorithms, or data structures.
3. Create derivative works based on, inspired by, or substantially similar to the Software, its calculation methodologies, user interface layouts, or output formats.
4. Redistribute, share, publish, sublicence, lease, rent, loan, or otherwise make available the Software or any output, screenshot, or screen recording to any third party without prior written consent from the Licensor.
5. Remove, alter, or obscure any proprietary notices, watermarks, copyright notices, or branding.
6. Use the Software to develop a competing product or service, or assist any third party in doing so.
7. Circumvent, disable, or interfere with any security, access control, or digital rights management features.
8. Use automated tools (bots, scripts, browser extensions) to interact with, extract data from, or capture content of the Software.
9. Print, screenshot, or generate PDF output of the Software interface for distribution, unless the Software explicitly provides a print function for personal project use only.

5. Calculation Output

5.1. Where the Software provides a designated print or export function, you may use the calculation output (numerical results and formatted reports) solely for your own professional project work.

5.2. Any such output must retain all CalcDraft™ watermarks, branding, and attribution.

5.3. You may not use outputs to reconstruct, replicate, or reverse-engineer the underlying calculation methodology.

6. Demonstration Use

6.1. You may demonstrate the Software to prospective clients or partners solely by live screen-sharing or in-person presentation via the CalcDraft™ portal. No offline copies, recordings, or reproductions are permitted.

6.2. Any prospective user must be referred to the Licensor for their own licence agreement.

7. No Warranty & Limitation of Liability

7.1. The Software is provided "AS IS" and "AS AVAILABLE" without warranty of any kind.

7.2. The Licensor does not warrant that the Software will be error-free or that results will be accurate. All engineering calculations must be independently verified by a suitably qualified engineer before use in any design, construction, or safety-critical application.

7.3. The Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

7.4. Total aggregate liability shall not exceed licence fees paid in the twelve (12) months preceding the claim.

8. Audit Rights

8.1. The Licensor reserves the right to monitor usage to verify compliance, including logging access times, IP addresses, and interaction patterns.

8.2. You agree to cooperate with any audit or investigation.

9. Termination

9.1. The Licensor may terminate this Agreement immediately without notice upon breach of any term.

9.2. Upon termination all rights cease immediately; you must destroy any copies or derivatives in your possession.

9.3. Clauses 3, 4, 7, 8, 10, and 11 survive termination.

10. Confidentiality

10.1. You acknowledge the Software contains confidential and proprietary information. You agree to maintain confidentiality and not disclose technical details, methodologies, or implementation specifics to any third party.

11. Governing Law

11.1. This Agreement is governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Entire Agreement

12.1. This constitutes the entire agreement and supersedes all prior communications. The Licensor may update this Agreement; continued use constitutes acceptance.
